Terms of Service

ArnBooks is a software tool that connects to QuickBooks Online and other financial services to help solo operators keep their books current. ArnBooks suggests categories, drafts entries, and surfaces transactions that need review.

ArnBooks is a software tool, not a tax, legal, or accounting professional. We do not provide tax preparation, audit, legal, or licensed accounting services. You are responsible for reviewing every suggestion before it is used in your books and tax filings.

You must be at least 18 years old to use the Service. By using ArnBooks you represent that you have the authority to connect the financial accounts you connect, on behalf of yourself or the business you operate.

You are responsible for keeping your password and account credentials secure. You agree to notify us promptly at hello@arnbooks.ai if you suspect unauthorized use of your account.

When using ArnBooks, you agree not to:

• Scrape, harvest, or otherwise extract bulk data from the Service.
• Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law permits.
• Use the Service for illegal activity, fraud, money laundering, or to violate the rights of others.
• Interfere with the Service's security, availability, or other users' ability to use it.

When you connect QuickBooks Online, Stripe, Shopify, PayPal, or another supported service, you authorize ArnBooks to read data through their official APIs according to the permission scopes you grant. You can disconnect any service at any time from your ArnBooks settings.

Those services are operated by their respective providers under their own terms. ArnBooks is not responsible for the availability, accuracy, or actions of those services. If a connected service changes its API, becomes unavailable, or terminates your access, the related ArnBooks features may be affected.

ArnBooks uses AI models to draft category suggestions, rules, and notes. AI suggestions are not financial, tax, or legal advice. They may be incorrect or incomplete. You are responsible for reviewing and approving (or rejecting) every suggestion before it is treated as part of your books. ArnBooks is not liable for incorrect categorizations, missed deductions, misclassified income, or any downstream tax or accounting consequence.

Paid plans are billed in advance on a recurring basis (monthly or annual, depending on the plan you choose) and renew automatically until you cancel. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period.

Refunds are issued at our discretion and generally only within 14 days of a charge. If checkout succeeds but ArnBooks cannot provision paid workspace access, contact support and we will either fix access or unwind the payment. Annual subscriptions are prepaid for the year and partial refunds are not promised unless required by law or approved by ArnBooks.

See the Refund and Cancellation Policy for the current billing-policy draft. We may change plan pricing with at least 30 days' notice; price changes apply to your next renewal.

You can stop using ArnBooks and close your account at any time. We can suspend or terminate your access if you breach these Terms, if your use creates risk or legal exposure for ArnBooks, or if we are required to do so by law. We will give reasonable notice when feasible. On termination, the licenses we grant you in these Terms end and you must stop using the Service.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, fitness for tax preparation or accounting compliance, accuracy, and non-infringement. ArnBooks does not warrant that the Service will be uninterrupted, error-free, or that AI suggestions will be correct.

To the maximum extent permitted by law, ArnBooks and Celmaste Capital Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claim relating to the Service is capped at the greater of (a) the fees you paid to ArnBooks in the 12 months immediately before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100) if you have not paid us any fees.

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable in Nova Scotia, without regard to conflict-of-laws rules. The courts located in Nova Scotia, Canada have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where applicable consumer-protection law gives you a non-waivable right to bring a claim in your home jurisdiction.

We may update these Terms as the product evolves. If we make material changes, we will notify registered users by email and post the updated date at the top of this page. Continued use of the Service after the effective date means you accept the updated Terms.
